1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legal agreement between you (whether an individual or an entity) (“you”, “your”) and Tmind AI (“Tmind AI”, “we”, “us”, “our”). By visiting or using our website, platform, applications, or services (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree with all of these Terms, you must not access or use the Services.

2. Changes to Terms

We may modify or replace these Terms at any time. When we do so, we will post the revised Terms on the Service and update the “Last updated” date above. Your continued use of the Services after the changes become effective means you agree to the revised Terms.

3. Services Description

Tmind AI provides a therapist-training platform using AI-simulated patient characters, as further described on our website. You acknowledge and agree that we may update, change, or discontinue any feature of the Services at any time without notice.

4. Eligibility; Accounts

  • You must be at least 18 years old (or of legal age in your jurisdiction) to use the Services.
  • If you create an account, you are responsible for maintaining the confidentiality of your login credentials, and for all activity under your account. You agree to notify us immediately of any unauthorized use or breach of security.
  • You represent and warrant that the information you provide to us is complete, accurate, and current.

5. Acceptable Use; Prohibited Conduct

You agree not to use the Services for any unlawful purpose or in a way that:

  • violates any applicable law or regulation;
  • infringes or misappropriates the rights of others (including intellectual property, privacy, publicity);
  • engages in any form of harassment, discrimination, hate speech, or defamation;
  • attempts to gain unauthorized access to the Services, accounts, systems or networks;
  • interferes with the proper functioning of the Services or degrades user experience;
  • uses the Services to send spam, bulk communications, or unsolicited promotional messages.

We reserve the right to suspend or terminate your account or access to the Services if you violate these provisions.

6. User-Generated Content

If you submit any content (e.g., feedback, reviews, comments, profile information) through the Services (“User Content”), you retain any ownership rights you have in your User Content. However, by submitting User Content you grant Tmind AI a worldwide, non-exclusive, royalty-free, fully paid-up, transferable license to use, reproduce, modify, adapt, publish, translate, distribute and display your User Content in connection with the Services and our business (including promoting the Services).

You represent and warrant that: (i) you own or otherwise control all rights to your User Content; (ii) your User Content does not violate any law or infringe any rights of any person or entity; (iii) your User Content is not defamatory, obscene, or otherwise objectionable.

We reserve the right to remove or refuse to display any User Content for any reason, without notice.

7. Intellectual Property

All rights, title and interest in and to the Services (excluding User Content) and all associated intellectual property rights are owned by or licensed to Tmind AI. You may not copy, modify, distribute, sell, lease, license, reverse engineer, decompile or extract code from the Services, except as expressly permitted by us in writing.

8. Privacy and Data Protection

Your use of the Services is also governed by our Privacy Policy, which is incorporated herein by reference. Please review it carefully to understand how we collect, use and disclose your personal information.

9. Disclaimers; No Warranty

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, TMIND AI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

10. Limitation of Liability

IN NO EVENT WILL TMIND AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO: (A) YOUR USE OR INABILITY TO USE THE SERVICES; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN; (C) ANY INTERRUPTION OR CESSATION OF THE SERVICES; (D) ANY BUGS, VIRUSES, ERRORS OR DEFECTS; (E) THE CONTENT OR CONDUCT OF ANY THIRD PARTY USING THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TMIND AI'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO TMIND AI IN THE PAST SIX (6) MONTHS (IF ANY).

11. Indemnification

You agree to indemnify, defend and hold harmless Tmind AI, its affiliates, officers, directors, employees and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another.

12. Termination

We may terminate or suspend your account and/or access to the Services at any time, with or without cause, and without notice. Upon termination, your right to use the Services will immediately cease. Sections 4, 5, 7, 8, 9, 10, 11, 12 and 14 shall survive any termination.

13. Governing Law; Dispute Resolution

These Terms and any dispute arising hereunder will be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflicts of law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in King County, Washington, and you and Tmind AI each hereby consent to the personal jurisdiction of such courts.

14. Miscellaneous

  • If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • These Terms constitute the entire agreement between you and Tmind AI regarding your use of the Services and supersede any prior or contemporaneous agreements, communications, or proposals.
  • No waiver by Tmind AI of any term or condition will be deemed a further or continuing waiver of such term or condition or any other term or condition.
  • You may not assign or transfer these Terms or your rights hereunder without our prior written consent; we may freely assign or transfer these Terms.
